Merchant Agreement · version 2026-11-06.4

Merchant Agreement

The contract between a store and PeptideTech. You read and sign it when you join, and again when a new version comes; your signed copy is in your dashboard.

section 1

1. Parties and what this is

This Merchant Agreement (version 2026-11-06.4) is between the business named in your signature (“you”, the “Merchant”) and the operator of the site, peptidetech.is, contact cs@peptidetech.is (“PeptideTech”). It is a contract between businesses. Whoever signs confirms they have authority to bind the business.

You are an independent business. Neither side is the other’s employee, partner, franchisee or joint venturer, or can bind the other, except for the limited payment authority in “PeptideTech Checkout”. This agreement binds you and PeptideTech only. It does not bind a regulator, a court, a customer or anyone else, and it does not limit their rights against either of us.

section 2

2. What PeptideTech is

PeptideTech is a software and marketplace venue. It lists your products that match its catalogue, shows the prices and stock your store reports, links to your product pages, reads the certificates you publish, grades stores under its published rubric, and runs the checkout software.

PeptideTech does not make, sell, buy, hold, ship or endorse any product, and never takes title to or possession of one. PeptideTech does not test products. Certificates of analysis are the seller’s or the lab’s documents, attributed to them, and PeptideTech does not verify them unless a specific record says so. A listing, a grade or a place on a page is not an endorsement or a statement that a product is lawful or fit for any purpose.

section 3

3. You are the seller

You are the seller and the merchant of record for every order. The sale is yours alone, at the prices, stock, shipping and tax your store quoted, and you honour them. Title and risk of loss stay with you until delivery to the customer.

You alone are responsible for: your products, including their identity, quality, purity and safety; labelling and packaging; certificates of analysis; every claim on your pages and listings; licences and registrations; compliance with the FDA, DEA, FTC, state authorities and every other law that applies to you, your products and your customers; age checks; whether a product may lawfully be shipped to and imported at each destination, and accurate declarations; tax; recalls; the customer data you hold; and customer service. PeptideTech does not check these or advise you on them, and nothing it does or says relieves you of them.

Listed products are sold for laboratory research use. Your pages make no claim of human or veterinary use.

section 4

4. Listings and citations

You keep names, prices, stock, package sizes and product pages accurate and current. PeptideTech lists only confident matches to the exact compound, size and form, and you can correct or remove a match in the dashboard. Requirements are checked continuously, and a listing pauses by itself while one stops holding.

You authorise PeptideTech to receive your product names, prices, stock, links and certificate links, to fetch your public product pages and certificates, and to publish prices, stock, certificate readings, shipping and delivery performance and the resulting grade.

Each matched product page shows one visible citation linking the matching PeptideTech record, placed by the plugin or by your API integration. You choose whether the link is followed, nofollow or sponsored. If no citation can be found for 14 days, the listing pauses until one is.

section 5

5. What may not be listed

Nothing on the DEA controlled-substance list, no human growth hormone and nothing illegal to sell may be listed through PeptideTech. Such listings are excluded automatically. Multi-packs and merchandise are not listed. The Prohibited Products Policy at /prohibited-products is part of this agreement.

section 6

6. PeptideTech Checkout

A partner store is listed only while it sells through PeptideTech Checkout, with a verified custom API integration or the PeptideTech Connect plugin connected, a payout wallet set, this agreement signed in its current version and selling switched on. A store on WooCommerce REST keys alone cannot be listed. Losing checkout for any reason, including switching it off, not signing a new version or a suspension, takes your store off the site at the next publish until checkout is back. Orders already paid are still yours to fill.

A customer pays once on peptidetech.is for packages from one or more stores. PayGate.to receives the payment at a deposit address created for that checkout and splits it the moment it confirms, paying your share in USDC on Polygon to your payout wallet and PeptideTech’s share to its treasury wallet. PeptideTech sets the split instructions and sends the order to your backend through signed webhooks or to WooCommerce through the plugin.

You authorise that split and the reductions in this agreement, and appoint PayGate.to, the checkout’s payment collector, as your limited agent to receive payment for your order. A customer’s payment to the deposit address fully discharges what the customer owes you for that order, and you will not seek further payment from the customer, even if a payout to you fails or is short. This describes what happens. It is not a statement about the licensing status of PeptideTech or anyone else.

You acknowledge each order, add tracking and keep its status current through your API integration or WooCommerce.

section 7

7. Checkout fee

PeptideTech keeps 20% of each checkout order: your items, the shipping service the customer chose and the tax, as quoted. Your payout is the other 80%, paid automatically with the customer’s payment. PeptideTech never invoices the fee and does not return it, whatever later happens to the order. A different rate applies only where PeptideTech has agreed it with you in writing and it is shown in your dashboard.

The customer’s payment processing fee (5% by card, 2% plus network cost by crypto) is separate. The customer pays it on top of your total, and it is not your fee. The checkout fee never applies to orders placed in your store itself.

section 8

8. Payouts and your wallet

Payouts go to your payout wallet, in USDC on Polygon, the moment the payment confirms. The wallet is set and changed only in the partner dashboard, by typing the address twice; a change needs the account password, takes 24 hours and can be cancelled from the dashboard or the emailed link. PeptideTech does not check who controls the address, so enter it with care: a payout sent to it is final and PeptideTech cannot recover it.

Store credit a customer uses comes out of PeptideTech’s share of the order, and an order can use only as much as that share can carry, so your payout arrives in full inside the split. When a payment provider keeps more than estimated and you receive less than your share, PeptideTech owes you the difference and staff settle it in USDC; the dashboard shows it.

section 9

9. Shipping within 14 days

You ship each order within 14 days of the customer’s payment, and within any shorter time you state. Shipped means the carrier has the parcel, reported by your store’s status or tracking; PeptideTech does not query carriers. A label or tracking number the carrier never received is not shipment. You keep records of what you shipped and when. PeptideTech staff may extend the 14 days for a specific order.

If you cannot ship in time you tell the customer and PeptideTech before that date.

section 10

10. All sales are final; the refund you owe

Sales through checkout are final. As between you and PeptideTech, and as between you and your customer, there are no refunds or returns for any reason, with one exception: if an order misses your dispatch promise or remains unshipped 14 days after payment, you must refund the customer the order’s total (items, shipping and tax), at your own cost, within 7 working days of cancellation or any earlier deadline required by law and in any case without waiting for PeptideTech. You fund the refund, including the allocated customer processing fee for a fully cancelled suborder, and arrange a supported payment method. PeptideTech routes the request and records independently checked evidence. This allocates responsibility between us; it does not exclude duties or liability that applicable law places on PeptideTech.

Refund requests open automatically at the applicable deadline. You respond in merchant operations or through its scoped API and provide a payment-provider reference. A store status, webhook acknowledgement or uploaded reference is not proof of payment. Verification uses an independently configured evidence service or staff review. PayGate does not provide cash-refund or arbitrary merchant-debit APIs in this integration; you remain responsible for arranging the refund and funding it even if future sales stop. Overdue unresolved cases can pause checkout.

section 11

11. Store credit and netting

To keep a customer whole where you have not refunded by then, an order unshipped 14 days after payment automatically gives the customer PeptideTech store credit for its total, and you owe PeptideTech that amount: a debt in your ledger, shown in the dashboard and emailed. No interest and no other fee is added. If you then show PeptideTech that you refunded the customer, the credit is taken back as far as it is unspent, and your debt is reversed by that amount. Shipment reported after the credit was issued does not cancel the debt unless staff reverse it.

A debt is cleared automatically from your next checkout orders: each order’s payout is reduced by the debt, at most 50% of that order’s payout after the 20% fee. The reduction goes to PeptideTech’s treasury and is recorded with the order’s reference. If you stop selling through checkout with a debt outstanding, it is payable in USDC within 7 days of a written request, and PeptideTech may recover it across all accounts you control. You have no claim against a customer for it.

section 12

12. Disputing a debt

You can dispute a debt in the dashboard with proof of shipment in time: the carrier, the tracking number or link and the date. While a dispute is open, that debt is not offset. An independently verified carrier handoff within the deadline can resolve a shipping dispute automatically; otherwise staff review the evidence and record the reason, and their decision is final between us, subject to the arbitration section. If staff reverse a debt, offsets already taken for it first clear any other debt you owe. What is left comes back automatically: your share of your later checkout orders is raised, by up to 50% of PeptideTech’s fee on each, until you have it. If you stop selling through checkout before then, ask at cs@peptidetech.is and PeptideTech pays what is left in USDC. The customer’s credit stays PeptideTech’s cost in that case, unless the customer committed fraud.

section 13

13. Chargebacks

Your payout is final on the blockchain, so a chargeback does not reach you by itself, and PeptideTech learns of one only when a payment provider or the customer reports it. Staff record it against the order. No store credit is issued for that order, and credit already issued is removed as far as it is unspent. Where staff decide the chargeback comes from your goods, shipping or service, you owe PeptideTech the amount charged back, up to the order’s total, as a debt under “Store credit and netting”, and you can dispute it the same way.

section 14

14. Certificates and grades

You warrant that each certificate of analysis you publish is a genuine, unaltered laboratory document for the product and lot it describes, and that each shipment is what its listing and certificate say.

Grades and scores are computed from documents, public records and, under the published rubric, measured performance on checkout orders. Commission, citations, fees and other payments never change them, and no manual adjustment is offered. Price tables rank by displayed price, except for the one featured partner, which is disclosed, labelled and pinned first (see How we make money). Automated matching and readings can be wrong, and grades are PeptideTech’s opinion on documents, not a statement of fact about a product.

section 15

15. Seller identity (INFORM Consumers Act)

You give PeptideTech your legal name, physical address, a working email and phone, a business tax ID or taxpayer ID, and a bank account or, if you have none, your payee name, in the dashboard, within 10 days of a request, and keep them current. At 200 sales and $5,000 of gross revenue through checkout in any 12 months of the past 24 you are a high-volume seller. An independent verification provider, where configured, or PeptideTech staff then check your data within 10 days and may ask for a government ID or tax document; submission alone is not verification. You authorize the necessary seller data to be sent securely to that provider for this purpose. Failed or unavailable verification remains pending. You certify your data at least every year, with 10 days to respond. If a deadline is missed, or the review is not finished in time, your checkout sales are suspended, which also takes your store off the site.

From $20,000 of checkout sales in a year, and once reviewed, your name, address and contact details are published on your listings and order pages. If you certify that your only address is your home, or your only phone is personal, only your state and country are published in place of the address, and no phone. Your tax ID and bank details are encrypted, and this data is used only for this compliance and, where the law requires, for tax reporting.

section 16

16. Tax

You calculate and collect applicable tax through the checkout amounts your backend supplies, and are responsible for filing and remitting tax on your sales where the law assigns those obligations to you, except any amount a law requires a marketplace to collect itself and that PeptideTech tells you it is collecting. If such a law applies, you give PeptideTech the data it needs, will not collect the same tax twice, cooperate with audits, and bear tax, interest and penalties caused by your data. Automated tax ledgers and monthly reports are records, not tax returns or proof of remittance. You provide filing/payment references; only independent evidence is marked verified. PeptideTech’s fee remains calculated on the order total including tax, so you must fund the full tax due from your receipts and other funds. You give PeptideTech a completed Form W-9 or, if you are not a US person, the right Form W-8 when asked, and PeptideTech may report your sales to tax authorities where the law requires.

section 17

17. Sanctions and your wallet

You represent that neither you, nor your owners (including anyone holding 50% or more), nor your payout wallet is the target of US sanctions or located in a comprehensively sanctioned country, and that you will not ship to anyone who is. PeptideTech may screen you and your wallet, though it does not do so automatically today, and may suspend you without liability if a check or a regulator raises a concern. You control the wallet you enter, and you report a change of ownership.

section 18

18. Data and regulators

You and PeptideTech are each independently responsible for the personal data each handles. You use customer data from a PeptideTech order only to fill and support it and to meet legal duties, keep it secure, delete it when no longer needed, tell PeptideTech of a breach within 24 hours, and do not market to the customer on the strength of it, or combine it with other lists, without the customer’s separate consent. API keys and tokens you give PeptideTech are stored encrypted and deleted when you remove them or close the account.

You remove a product at once on a recall or safety notice, bear its cost, and tell PeptideTech at cs@peptidetech.is within 24 hours of any contact from the FDA, DEA, FTC, a state attorney general or another regulator about a listed product. PeptideTech may give a regulator or court what the law requires.

section 19

19. Integration maintenance

If you use the custom API, you grant only live quote access, creation of this store’s paid orders and reading their status. Requests and webhooks are signed; you maintain the endpoints, protect and rotate credentials, acknowledge duplicate events idempotently and report actual carrier handoff separately from label creation. Separately granted operations:read, operations:write and tax:read permissions allow reading your cases and tax ledger and submitting evidence. They cannot approve a refund, mark tax paid, verify your own identity, control wallets, sign agreements or authorize buyer marketing. If enabled by the owner, signed refund, dispute, tax and verification instructions are delivered to the same verified backend. Maintain idempotency, respond promptly and keep sufficient funds available. If you choose the WooCommerce plugin, PeptideTech Connect updates itself. Your store checks peptidetech.is for a new release, verifies the file against its published SHA-256 hash and installs it through WordPress’s own updater, without you doing anything. You agree to leave this on: checkout orders depend on the plugin. A store on a version older than 2.5.0 must update once by hand, and updates itself from then on.

section 20

20. GoAffPro (optional, separate from the checkout fee)

GoAffPro is optional. A store needs none to join or to be listed: it is approved automatically the first time it switches checkout on, and its listing shows no PeptideTech code. PeptideTech may withdraw an approval at any time; the listing then pauses until GoAffPro is verified or the store is approved again. If you connect GoAffPro from the dashboard, you enrol PeptideTech’s affiliate account (the dashboard gives the address; questions to partner@peptidetech.is) with referral code PEPTECH, a commission of at least 25% on orders it refers to your own store, and a PEPTECH coupon worth 10% for shoppers. That commission and coupon are not the checkout fee: they apply only to orders placed in your own store, under your GoAffPro programme’s own payout terms, and never to orders placed through PeptideTech Checkout. If the terms stop holding, the code comes off your listing.

section 21

21. No warranties

The site, the plugin, the checkout, the grades and everything else PeptideTech provides are provided as is and as available, with all faults. To the fullest extent the law allows, PeptideTech disclaims every warranty and condition, express or implied, including merchantability, fitness for a purpose, title, non-infringement, accuracy and uninterrupted or error-free operation. PeptideTech does not promise any sales, traffic, ranking or result, and does not answer for the blockchain, a payment provider’s conduct, a carrier or a wallet you control.

section 22

22. Limit on PeptideTech’s liability

To the fullest extent the law allows, PeptideTech’s total liability to you under or in connection with this agreement, on any theory, is limited to the greater of US$100 or the fees PeptideTech received from you in the 3 months before the claim arose, and PeptideTech is not liable for indirect, incidental, special, consequential or punitive loss, or for lost profit, revenue, data or goodwill. The only exclusions from these limits are liability the law does not allow to be excluded, and amounts PeptideTech actually collected and owes you under this agreement.

section 23

23. Your indemnity and defence

You will defend, indemnify and hold harmless PeptideTech and its operators, owners, staff and contractors against every claim, regulatory or criminal investigation or action, loss, fine, penalty, cost and legal fee arising from your products, including bodily injury, product liability, recall and seizure; your listings, labels, claims and certificates; your shipping and import; your taxes; your data handling; your breach of this agreement or of any law; or any claim against PeptideTech arising from your goods or your conduct. PeptideTech may choose its own counsel or control the defence, at your cost, and you will not settle anything that binds PeptideTech without its written consent.

section 24

24. Insurance

Before your first checkout order, and in any case within 30 days of joining checkout, you carry product liability insurance of at least US$1,000,000 per occurrence and US$2,000,000 in aggregate that covers the products you list, naming PeptideTech as an additional insured where the insurer allows, and you send a certificate on request. Your liability is not limited to your insurance.

section 25

25. Suspension, delisting and ending

PeptideTech may suspend, delist or remove your store, any listing or your checkout selling at any time, at its discretion and without liability, with or without giving reasons, and end this agreement on notice. You can close the account at any time in the dashboard. The listing then comes off at the next publish, as it does whenever your store stops selling through checkout. Your duties on orders already placed stay in place.

section 26

26. Changes

PeptideTech emails you and shows in the dashboard a notice at least 30 days before a change takes effect, except that a change needed at once for legal, regulatory, fraud, security or product-safety reasons takes effect when notified. A change applies going forward only and does not affect claims that already arose or disputes already pending. A change to the arbitration section does not apply to you unless you separately agree to it. Each new version must be signed before your listing and checkout selling continue; you may instead close the account.

section 27

27. Electronic signature

You agree to sign and to receive this agreement and notices about it electronically, and that your typed name, with the consent you tick, is your signature. PeptideTech keeps the version, a SHA-256 hash and the text you were shown, the time, your IP address and browser, and emails you a copy. You can read and print the signed text in the dashboard.

section 28

28. Governing law and arbitration

Icelandic law governs this agreement, excluding its conflict-of-laws rules. Any dispute is finally resolved by arbitration before one arbitrator under the arbitration rules of the Iceland Chamber of Commerce, seated in Reykjavik, in English, with hearings by video unless both sides agree otherwise. An award is enforceable under the New York Convention. Either side may go to a court with jurisdiction for an urgent injunction or to collect an undisputed amount owed. You bring claims only individually.

section 29

29. General and what survives

This is the whole agreement between us on its subject, with the Prohibited Products Policy, and replaces the partner terms and checkout addendum you may have accepted before for anything arising from now on. You may not assign it without PeptideTech’s consent. If a part cannot be enforced, the rest stands and that part applies as far as the law allows. Sections on the refund you owe, store credit and netting, disputes, chargebacks, tax, data, no warranties, the limit on liability, indemnity, governing law and arbitration, and any amount owed, survive the end of this agreement.
